BYLAWS FOR LIFE REMODELED COMMUNITY ADVISORY COUNCIL

Article I Name:

Life Remodeled Community Advisory Council

Article II Purpose & Responsibility:

Section 1. The Life Remodeled Community Advisory Council (“LRCAC”) shall have the purpose and responsibility of consulting and advising the CEO of Life Remodeled on the advancement of its goals regarding the development and operations of the Durfee Innovation Society (DIS) and the HUD EnVision Center. The mission of the LRCAC is to determine the collective voice of the community residents, students and stakeholders located within the defined Life Remodeled geographic boundaries and advise Life Remodeled according to the community’s hopes, desires and concerns. The LRCAC will meet monthly to share ideas and solidify their proposals and positions on behalf of the community. The LRCAC exists to hold Life Remodeled accountable to hear and respect community voice in it’s decision-making processes regarding the DIS and HUD EnVision Center, but the LRCAC is not a governing entity over the decisions of Life Remodeled. However, the LRCAC will formally document and publicize decisions made by Life Remodeled that may be determined to align with LRCAC recommendations, as well as decisions that may be determined not to align with LRCAC recommendations.

Article III Membership:

Section 1. Eligibility for membership for the LRCAC:

Members shall be appointed by the Life Remodeled CEO and be ratified by two-thirds (2/3) or greater vote of the LRCAC and will consist of at least 6 but not more than 15 members. The LRCAC will represent a cross-section of the geographic boundaries as defined by the map below.

Section 2. Annual Dues:

There are no required annual dues charged to its members.

Section 3. Resignation and Termination of LRCAC members:

A. Any member of the LRCAC may resign by filing a written resignation with the Secretary of the LRCAC.

B. Any LRCAC member’s resignation may be considered voluntary if they fail to attend 3 consecutive meetings.

Article IV Meetings of LRCAC:

Section 1. Regular meetings of LRCAC:

Shall be held monthly at the DIS.

 Section 2. Special Meetings of LRCAC:

Special meetings may be called by the Chair or a simple majority of the (LRCAC). There must be a minimum of a 48-hour notice for a special meeting with an agenda.

Section 3. Notice of Regular Meetings:

A written notice of each meeting shall be delivered to each voting member by mail or email not less than one week prior to the meeting with an agenda.

Section 4. Quorum:

A quorum for a meeting of members shall consist of at least 35% of the active membership.

Section 5. Voting:

All issues voted on shall be decided by a simple majority of those present. There must a Quorum of the members present.

Section 6. Proxies:
Voting by proxy is prohibited.

Section 7. Community Meetings:
The LRCAC may decide to hold community meetings for the purpose of better understanding the collective voice within the community. These meetings may consist of anyone whom the LRCAC decides to invite.

Section 8. Parliamentary Procedure:
All questions concerning parliamentary procedure at meetings shall be determined by the Chair with reference to Robert’s Rules of Order.

Article V Officers:

Section 1. The Officers shall consist of:

The LRCAC Officers shall be the Chair, Vice-Chair, Secretary, and Parliamentarian. All officers must have the status of active membership.

Section 2. Election of Officers
The Officers of LRCAC shall be elected by a simple majority of the LRCAC at their first official meeting of each year. There must be a quorum of members present.

Section 3. Chair

The Chair shall preside at all meetings and shall have the following duties:

A. He/she shall have general and active management of the business of the LRCAC.

B. He/she shall make sure that all orders and resolutions are brought before the LRCAC.

C. He/she shall have general superintendence and direction of all other officers of the LRCAC and see that their duties are properly performed.

Section 4. Vice Chair

The Vice Chair shall be vested with all the powers and perform all the duties of the Chair during the absence of the Chair.

Section 5. Secretary

The Secretary shall attend all meetings of the LRCAC.

A. He/she shall record all votes and minutes of all proceedings in a book to be kept for that purpose.

B. He/she in concert with the Chair shall make the arrangements for all meetings of the LRCAC.

C. He/she shall be responsible to distribute notices for all meetings to the members of LRCAC and shall take reservations for the meetings.

D. He/she shall maintain a database of all members contact information and that shall be the property of LRCAC & Life Remodeled.

Section 6. Parliamentarian

A. Assists the Chair to manage meetings and advises on parliamentary procedure.

B. Chairs bylaws committee to review unit bylaws each year and to propose revisions of bylaws.

C. Arranges nominating committee’s first meeting, providing information on nomination and election process.

Article VI Compensation & Removal:
A. LRCAC members are volunteers and shall not receive compensation for their public service. They may receive reimbursement for expenses incurred on behalf of Life Remodeled if it is a pre-approved activity.
B. Any member may be removed from office with or without cause by a two-thirds (2/3) or greater vote of the LRCAC. A member may not be removed by the members at a meeting unless the notice of such meeting states that purpose, or one of the purposes, of the meeting is the removal of the LRCAC member.

Article VII Indemnification:

In addition to, and not in any way in limitation of, all indemnification rights and obligations otherwise provided by law, Life Remodeled shall indemnify and hold harmless its LRCAC members and indemnify them against all liabilities and expenses in any proceeding (including, without limitation, a proceeding brought by or on behalf of the Corporation itself) arising out of their status as LRCAC members, or their service at the Corporation’s request as a LRCAC member.

Article VIII Records:
The Chair and the Secretary of the LRCAC shall be responsible for maintaining the records of minutes, agendas, meeting notices, orders and all records of the LRCAC.

Article IX Amendments:
These Bylaws may be amended and ratified with 2/3 votes of the LRCAC and the Life Remodeled CEO will retain veto power over those amendments.
